The following terms and conditions of use (“Terms of Use”) govern the use of the website (”Website”) of FootballFans and/or its services, accessible via www.FootballFans.eu. By accessing / using the Website you accept and agree that these terms and conditions apply to your use of the Website. We strongly recommend you to read these Terms of Use carefully so that you are aware of your rights and obligations when using our Website. If you do not accept the Terms of Use, you are not able to use our services as a registered user.

Services of FootballFans

Before you can make use of the various services of FootballFans (“Services”), you have to register with FootballFans and apply for your own account (“Account”). Before registering, you are requested to accept these Terms of Use and the FootballFans Privacy Statement (“Privacy Statement”). When accepting, you are (legally) bound to these Terms of Use and Privacy Statement when using the Website and/or Services of FootballFans and agree that these Terms of Use are part of the User-agreement between FootballFans and a registered user. The most current Terms of Use can always be viewed on the Website.

Amendment of Terms of Use

FootballFans is entitled to (unilateral) amend the Terms of Use at any time and without notice. After an amendment in the Terms of Use, you will be notified of the changes when logging on to your account, and you will be asked to agree to the amended Terms of Use. Should you choose not to agree to the amended Terms of Use, you will not be able to log on to your account anymore and Services provided by FootballFans will be discontinued.

Your FootballFans Account

Without registering as a user, you have access to the Website.
In order to be able to interact with others on the Website of FootballFans via her Services, you create an account in the manner described on the Website. You can only register once, with a unique username and e-mail address. You will not use another users account or create an account for anyone else without his or her permission. FootballFans may at its own discretion refuse an application for an account.

You will provide FootballFans with complete and truthful account information. This information includes personal details such as your name (optional) and e-mail address. You will update your account according to the new situation, when these personal details change. You agree that we save your details and use them in the manner that is described in the Privacy Statement.

If you are not yet sixteen (16) you can only create an account if you have prior consent of your parents or legal guardian. By accepting these Terms of Use you guarantee that you are aged sixteen (16) or over or have the consent of your parent(s)s or guardian(s) to create an account. Should you be under the age of sixteen (16) and did create an account without consent, we will discontinue the services provided to you by FootballFans when given notice.

You are solely responsible for the activity that occurs on your account, and you must keep your account details such as your password secure. You will not grant others access to FootballFans by using your account. You will notify FootballFans immediately of any unauthorized use of your account. You will be liable for any use made of your account or password, with or without your consent or knowledge, and the losses of FootballFans or others due to such unauthorized use. FootballFans will not in any way be liable for your losses caused by any unauthorized use of your account.

You can, at any time, delete your account and/or delete content you posted on the Website or request FootballFans to do so. To revoke your account, you can send us an e-mail and we will delete your account. When revoking your user account, you have two options: to leave your posted content on the site, or to remove all your content. With the first option, your user account and posted content will be made anonymous. With the second option your personal information and posted content will not be displayed anymore after the deletion of your account.

By Dutch Law however, we are obligated to retain your personal information for at least 6 months. Your personal information will therefore be stored on the FootballFans servers, even after deletion or termination of your account.

Posted Content on Website

FootballFans does not control the information, being data, files and/or material (under which video and photo) and more (“Content”), that is posted on the Website by her users and/or the Content that is communicated between her users. Therefore FootballFans is not liable for the Content users make available on the Website and FootballFans will not give any guarantees with regard to this Content. Opinions expressed on the Website by users, are not necessary the opinions of FootballFans or its founding party, Itude Sports Interattractive B.V.

Code of Conduct

You warrant and agree that you will act in accordance with these Terms of Use, that and at all times will perform the obligations under these Terms of Use and that you will act in accordance with all laws and regulations governing the use of the Website.

Your activities within the scope of FootballFans may not:

• be unlawful towards FootballFans and/or a third party in any way;
• be misleading and/or be based on lies;
• damage, render useless or make inaccessible the computer systems of FootballFans;
• delete any automated work or data on the computer systems of FootballFans;
• contain viruses, worms, Trojan horses, bots or other programs that may damage the computer systems of FootballFans.

Apart from the restrictions mentioned above, there are restrictions to the Content you post or upload on the Website of FootballFans. You agree to the following and you will not transmit any material that is:

• discriminatory to gender, race, religion, culture, origin or material that can be called offensive because it is contrary to public morality and good taste, is violent or pornographic or links to websites that contain such material;
• used or can be used to harass, exploit or abuse others;
• infringing on intellectual rights such as property rights, copyright, trademark rights, privacy rights or any other rights of FootballFans or third parties;
• junk mail and/or chain letters.

Furthermore you agree to the following that you will not:

• use the FootballFans website to perform or encourage illegal activities;
• perform any actions to collect or publish personal information of others for commercial or illegal purposes;
• invade in the privacy of other users;
• post Content without the prior written consent of FootballFans, that involves commercial activity such as advertising, contests, or lotteries;
• violate national or international laws and regulations.

If FootballFans decides (it being at the sole discretion of FootballFans) that actions you perform on the FootballFans Website are contrary to these conditions or are otherwise unacceptable, content will be removed and as a consequence FootballFans can decide to no longer permit you to use the services on the FootballFans Website, and can as a result terminate your account.

User Content

As mentioned, it is possible to make information available by posting Content on the FootballFans Website. If you create your own Content, then you are sure that it will not infringe copyrights because the Content is yours. This site is for you so you can use this website to show your creativity. FootballFans encourages you to create and post your own Content so that others can enjoy it. It is not permitted to remove, obliterate, hide or change notices or statements with regard to intellectual property rights.

Please make sure that your work is completely yours and that there is no partial copyright of others on it.

Under the conditions provided in these Terms of Use, in principle you keep the copyrights and other intellectual property rights which you own with regard to the Content which you make available via the Website to the other users of the Website.

By making Content available to FootballFans (uploading them) you acknowledge and agree that you automatically grant to FootballFans a worldwide, royalty free, non-exclusive, sub-licensable, transferable license to:

• use, reproduce and publicize the Content in relation to the FootballFans Service;
• use and reproduce the Content via any medium whatsoever for marketing and/or promotional purposes in relation to the FootballFans Service;
• remove for whatever reason and without any reason being given, any Content made available by you, without FootballFans becoming liable to you or a third party in any way whatsoever as a result of such removal.

You acknowledge and agree that the Content you have made available to FootballFans, may be used by other users of FootballFans since it becomes public information. Therefore it can be possible that the Content uploaded by you to the FootballFans Website is used in a manner, which is contrary to or is not provided for in these Terms of Use. FootballFans is not liable for any acts by a third party which are contrary to these Terms of Use or any legal provision or other unlawful act of a third party in relation to the material made available by you.

You guarantee to FootballFans that you are the fully entitled party with regard to the Content you post/upload. You safeguard FootballFans and all its affiliated companies and persons against any claims by third parties on the notice that the material infringes any current (intellectual property) right of third parties or are unlawful towards third parties and against any claims resulting from your acts in contradiction with these Terms of Use. All the costs and reputable damage suffered by FootballFans in any way in connection with these claims will be shifted on to you and paid by you.

• you are authorized to do so in accordance with these Terms of Use and that you are entitled to grant to FootballFans the rights as meant in these Terms of Use;

Intellectual Property Rights

You acknowledge and agree that FootballFans is the copyright owner or licensee of the Content and/or programs on the Website, unless indicated otherwise, such as mentioned above. You acknowledge and agree that this Content and/or programs are protected by intellectual property rights of FootballFans, licensors and/or users of FootballFans including, but not limited to, copyrights, neighboring rights, trademark rights and patents.

Under the conditions set out in these Terms of Use, FootballFans grants to you a personal and limited right to view and/or listen to Content made available via the Website. This right is revocable, not exclusive to the user and can not be transferred or sub-licensed to an other person. Downloading, copying, changing, disclosing files, data, programs and/or materials, or using them, either directly or indirectly for commercial purposes or any purpose other than those mentioned above is explicitly not allowed, subject to the prior consent of FootballFans or the relevant rights holder. Nothing in these Terms of Use or on the Website is meant to transfer any intellectual property rights and/or to grant any intellectual property rights to you. The use of the Website is limited to what has been described in these Terms of Use.

You acknowledge and accept that you will not perform any acts, which infringe on the (intellectual property) rights of FootballFans or third parties. You acknowledge and accept that any unauthorized use of Content that are protected via intellectual property rights, violates these Terms of Use and applicable law, such as the Dutch Copyright Act.

It is not permitted to remove, obliterate, hide or change notices or statements with regard to intellectual property rights.

Notice of infringing content

If you are of the opinion that a FootballFans user infringes your rights, please inform us of this by sending an e-mail to info@FootballFans.eu or a letter. FootballFans will examine notices of infringement on rights of third parties by users of FootballFans and if possible take measures against it.

The notice of infringement should contain:
1. Your contact details such as your address, telephone number and e-mail address
2. An accurate description of the copyrighted work or other intellectual property that you claim has been infringed
3. A description of where the material that in your opinion is infringing your rights is located on the Website of FootballFans. The more specific that you describe the location, the faster we will find it. Adding the URL can help.
4. A statement by you why in your opinion there is an infringement of your rights supported by evidence
5. In the case of an infringement of intellectual property rights a statement that you are the owner of the intellectual property rights and/or authorized to act on behalf of the owner and that the disputed use is not authorized by the intellectual property right owner;
6. A statement by you that the information in your notice is truthful and accurate;
7. A statement that you safeguard FootballFans and all affiliated companies as well as its board, board members, employees, representatives and legal successors against any claim of third parties with regard to removing or making inaccessible information. Such indemnification also covers the damage that FootballFans suffers and the costs it incurs or will yet suffer or incur or the costs, which FootballFans has to incur in relation to such claim, including but not limited to reimbursing the costs of legal assistance.
8. A signature (electronic or physical) of the person authorized to act on behalf of the owner of the intellectual property rights

In case of an infringement of intellectual property rights, you can use the document “notice of infringement of intellectual property rights”

FootballFans reserves the right to forward the notice of infringement to the person(s)/or company responsible for the Content to which the notice refers.

FootballFans will remove the Content to which the notice refers in the case that it is evident that the Content is unlawful. FootballFans reserves the right not to grant a request to remove or make inaccessible content if it has well-founded reasons to doubt the accuracy of the notice or the lawful nature of the evidence submitted or if the content to which the notice refers does not appear to be unlawful. Within that scope FootballFans may require a judicial decision of a competent court in the Netherlands, which decision demonstrates that the content concerned is unlawful.

FootballFans will not in any way be a party in any dispute between the person having issued the notice and the user to which the notice refers.

Discontinuation of Services

In addition to the other (legal) remedies at FootballFans´ disposal, FootballFans is at all times, without reasons being given and without prior explanation, entitled to restrict, suspend or discontinue your activities in connection with FootballFans temporarily or permanently, to discontinue and/or remove your account temporarily or permanently, to remove files, data and/or materials, to send out a warning and refuse to provide Services to you, particularly, but not limited to, in the event that:

• the user did not use the account for a consecutive period of at least twelve months;
• the user acts in contrary to these Terms of Use;
• the actions of the users in the view of FootballFans may inflict damage or create liability to yourself, to other users or to FootballFans.

FootballFans is at all times, without reason given and without prior notice, entitled to discontinue parts or all of the FootballFans Website and Services, for instance for maintenance or improvement of her Website.

FootballFans is not liable to you or any third party for the discontinuation of Services and/or liable the costs or damages because of the discontinuation of Services.

Privacy

All about your privacy rights is stated in the Privacy Statement, which you are bound to by using the Website and Services of FootballFans.

Content of and links to Third Parties

The Website of FootballFans could contain applications, content and services of third parties and/or links to Websites of third parties. FootballFans is not responsible for the content of those websites and gives no warranty nor accepts any liability with regard to that content. The posting of Content of Third Parties on the Website does not imply that FootballFans has inspected and approved such Content.

By using Content of Third Parties, you expressly release FootballFans from any and all liability arising from that use. In addition, we encourage and strongly recommend you to be aware that when you leave the FootballFans Website via a link to a website of a third party, to read the terms and conditions and privacy policy of that third party.

Liability

• FootballFans does not accept any liability for damage resulting from a failure in the performance of the agreement to provide Services caused by whatever reason, including but not limited to damage resulting from or in connection with the use of the Website or the impossibility of using it and/or any associated Services of FootballFans or an unlawful act or otherwise, insofar as permitted under applicable law;
• FootballFans will never be liable for any consequential damage including clear financial loss, loss of turnover and profit, loss of data and immaterial damage, resulting from or in connection with the Services rendered by FootballFans and/or the use of the Website;
• FootballFans does not guarantee that the FootballFans Website will be available at all times, without interruption, breakdowns and/or errors in the content. FootballFans will not accept any liability for damage or losses suffered as a result of this;
• A prerequisite for the right to damages is that you will at all times report the damage to FootballFans as soon as possible after suffering it. Any claim to damages against FootballFans lapses 12 months after the claim arises.

Miscellaneous provisions

• These Terms of Use makes up the entire agreement between FootballFans and its users regarding FootballFans and supersedes any prior agreements;
• If one or more provisions of these Terms of Use are null and void or are annulled, the remaining provisions will remain in full force and effect;
• These Terms of Use are governed by Dutch law. Any and all disputes resulting from this agreement will exclusively be submitted to the competent courts in Amsterdam.
